Shanghai Atlas is a premium private relocation studio providing bespoke services to high-net-worth global families relocating to Shanghai. Our services include, but are not limited to:

• Premium property selection and private viewing arrangement
• International school evaluation, matching, and admission guidance
• Cross-border moving coordination and local settlement support
• Private concierge and lifestyle management services
• Digital and physical relocation guides and resources
• Consultation and advisory services on Shanghai relocation

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. Eligibility and Account Registration

By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization.

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities conducted under your account

4. Service Agreements and Fees

Service Packages

Specific service packages, deliverables, timelines, and fees are detailed in individual service agreements or order confirmations provided to you at the time of purchase. These agreements supplement and are incorporated into these Terms.

Payment Terms

• All fees are quoted in the currency specified at checkout and are non-refundable except as provided in our Refund Policy
• Payment is due in full at the time of booking unless a payment plan is explicitly agreed upon in writing
• We accept major credit cards, bank transfers, and other payment methods displayed at checkout
• Late or failed payments may result in suspension or termination of services
• You are responsible for any applicable taxes, duties, or third-party fees associated with your purchase

Price Changes

We reserve the right to adjust our pricing at any time. Price changes will not affect services already purchased and confirmed. Any changes to fees for ongoing services will be communicated with at least 30 days' notice.

5. Client Obligations

6. Intellectual Property

All content on our website and delivered through our services, including but not limited to text, graphics, logos, images, audio, video, software, templates, guides, and methodologies, is the property of Shanghai Atlas or its licensors and is protected by intellectual property laws. You may not:

• Reproduce, distribute, modify, or create derivative works from our content without explicit written permission
• Use our trademarks, logos, or brand assets without authorization
• Reverse engineer, decompile, or disassemble any software or digital products
• Remove or alter any copyright, trademark, or proprietary notices
• Resell, sublicense, or commercially exploit our services or content

Upon purchase of a digital product, you receive a personal, non-exclusive, non-transferable license to use the product for your own internal purposes only.

7. Confidentiality

We understand the sensitive nature of relocation and family planning. Both parties agree to maintain the confidentiality of all non-public information exchanged during the course of service, including but not limited to personal information, financial details, relocation plans, and business strategies. This obligation survives the termination of these Terms. We will not disclose your confidential information to third parties except as necessary to deliver our services (with your consent) or as required by law.

8. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Shanghai Atlas disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• Our services will meet your specific requirements or expectations
• Service delivery will be uninterrupted, timely, or error-free
• Results obtained from our services will be accurate or reliable
• Any errors in our website or services will be corrected

Property availability, school admission outcomes, visa approvals, and similar outcomes are subject to third-party decisions and external factors beyond our control. We provide professional guidance and support but cannot guarantee specific outcomes.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Shanghai Atlas and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of our services. Our total aggregate liability for any claim arising from these Terms or our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Shanghai Atlas and its directors, employees, partners, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any misrepresentation or inaccurate information provided by you.

11. Termination

Either party may terminate the service relationship under the following circumstances:

• By You — You may cancel services at any time, subject to our Refund Policy. Cancellation does not relieve you of payment obligations for services already rendered
• By Us — We may suspend or terminate services immediately if you breach these Terms, fail to make payments, engage in fraudulent or abusive behavior, or if continued service becomes impossible due to external factors

Upon termination, all accrued payment obligations become immediately due. Sections regarding intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification shall survive termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any dispute arising from these Terms or our services shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts in Shanghai, China. Nothing in this section shall limit our right to seek injunctive or equitable relief in any jurisdiction.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 15 days before taking effect. Your continued use of our services after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must cease using our services.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Shipping & Delivery Policy, and any individual service agreements, constitute the entire agreement between you and Shanghai Atlas regarding the subject matter herein. They supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
